These Terms of Service ("Terms") govern your access to and use of LaserNinja.ca and your purchase of products or services from Laser Ninja, operated by Valleries Inc. ("Laser Ninja," "we," "us," or "our").
By accessing our website, placing an order, submitting a custom request, or otherwise using our services, you agree to these Terms and to any additional policies referenced in them.
Please read these Terms carefully before using our website or placing an order.
1. Our Website and Services
Laser Ninja offers Judaica, personalized gifts, engraved and customized products, home decor, event-related products, and other products and services that may be added or changed from time to time.
We may also provide custom, corporate, wholesale, event, installation, or other services arranged directly with customers.
Certain projects or services may be subject to a separate quotation, invoice, contract, or written agreement. If there is a conflict between these Terms and a separate written agreement relating to a particular project, the terms of the separate agreement will apply to that project.
We reserve the right to modify, suspend, discontinue, or change products, services, website features, or product availability at any time.
2. Eligibility and Use of the Website
You may use our website only for lawful purposes.
By placing an order, you represent that you have the legal capacity to enter into the transaction or that you are placing the order with the authorization of the person or organization responsible for the purchase.
Our products may be purchased by individuals, businesses, organizations, synagogues, schools, event organizers, retailers, and other customers where applicable.
You may not misuse our website, interfere with its operation, attempt unauthorized access to our systems, or use the website in violation of applicable law.
3. Customer Accounts
Certain website features may allow or require you to create a customer account.
If you create an account, you are responsible for:

· Maintaining the confidentiality of your login credentials
· Keeping your account information up to date
· Activities conducted through your account
Please contact us promptly if you believe your account has been accessed or used without authorization.
We may suspend or terminate an account where reasonably necessary because of suspected fraud, abuse, unlawful activity, violation of these Terms, or security concerns.
4. Product Information
We make reasonable efforts to describe and display our products accurately.
However, product appearance may vary slightly from images displayed online because of factors such as:

· Lighting and photography
· Natural or manufactured variations in materials
· Pattern placement
· Engraving characteristics
· Production tolerances
· Differences between handmade or individually produced items
Colors, textures, patterns, mirror finishes, acrylic designs, engraving appearance, and similar characteristics may therefore vary slightly from the images shown on the website.
Such normal variations are not necessarily considered defects.
Product measurements are approximate unless specifically stated otherwise.
Customers are responsible for reviewing product dimensions, specifications, compatibility information, installation requirements, and other relevant product details before ordering.
5. Personalized and Custom Products
Many Laser Ninja products are created or personalized specifically for the customer.
When submitting personalization information, you are responsible for ensuring that all information provided is correct, including:
· Names
· Dates
· Spelling
· Hebrew or English wording
· Numbers
· Addresses
· Initials
· Images
· Logos
· Design instructions
· Other requested personalization
We may reproduce personalization substantially as it is submitted to us.
Laser Ninja is not responsible for errors contained in personalization information that was supplied or approved by the customer.
If you notice an error after placing an order, contact us as soon as possible. We will make reasonable efforts to accommodate requested changes, but we cannot guarantee that an order can be changed once design work, engraving, printing, cutting, production, or other customization has begun.
Where we provide a digital proof or mockup for approval, production may begin once the customer approves the proof. Customers are responsible for reviewing proofs carefully before approval.
Minor positioning, sizing, engraving, color, or production variations may occur as part of the manufacturing process.
6. Customer-Supplied Content and Use of Finished Products
If you provide us with photographs, artwork, names, logos, trademarks, text, designs, or other materials for use in a custom or personalized product, you represent that you have the necessary rights, permissions, or authorization to provide and use those materials for the requested purpose.
You remain responsible for the materials you submit.
You grant Laser Ninja a non-exclusive right to use, reproduce, resize, edit, convert, engrave, print, or otherwise process submitted materials as reasonably necessary to:
· Produce your requested product or service
· Communicate with you about the order
· Provide customer service
· Maintain records reasonably related to the transaction
Display and Marketing of Finished Products
Unless you specifically request otherwise, Laser Ninja may photograph, film, display, reproduce, and use images or video of finished products we create, including personalized or customized products, for our portfolio, website, social media accounts, advertisements, promotional materials, and other Laser Ninja marketing purposes.
This may include displaying personalization that forms part of the finished product, such as names, family names, dates, wording, designs, or other visible customization.
If you do not want your personalized product displayed or used in our marketing, please contact us before your order is completed and let us know that you would like your product to remain private.
This permission to display a finished product does not automatically give Laser Ninja permission to separately publish or distribute an original customer-supplied photograph, private document, or other personal material outside the context of displaying the finished product. We may request additional permission where appropriate.
By submitting logos, artwork, photographs, or other third-party materials, you confirm that our production of the requested product, and any use you specifically authorize, will not infringe the intellectual-property, privacy, publicity, or other rights of another person.
We reserve the right to refuse content or personalization requests that we reasonably believe are unlawful, infringing, threatening, hateful, fraudulent, or otherwise inappropriate for our business.
7. Orders and Order Acceptance
Submitting an order through our website constitutes an offer to purchase the selected products.
Receipt of an automated order confirmation does not necessarily mean that we have accepted the order in all circumstances.
We reserve the right to refuse or cancel an order where reasonably necessary, including because of:
· Product unavailability
· Pricing or listing errors
· Suspected fraud
· Payment authorization problems
· Technical errors
· Shipping restrictions
· Inability to complete the requested customization
· Violation of these Terms
· A request involving prohibited or unlawful content
If we cancel an order after payment has been successfully collected and no amount is otherwise properly owing, we will refund the applicable amount paid for the cancelled portion of the order.
We may limit quantities where reasonably necessary.
8. Pricing, Currency and Taxes
Product prices are displayed on the website in the currency indicated during your shopping experience or checkout.
Prices may change without notice.
The price applicable to an order is generally the price displayed and accepted at checkout, subject to correction of obvious errors and applicable law.
Shipping charges, taxes, duties, and other applicable amounts will be displayed or calculated where applicable.
Customers are responsible for applicable taxes, customs duties, import charges, brokerage fees, or other government-imposed charges associated with international shipments unless expressly stated otherwise.
9. Payment
Payment is processed through Shopify and applicable third-party payment providers.
Laser Ninja does not directly receive or store your complete credit or debit card number.
By submitting payment information through checkout, you represent that you are authorized to use the selected payment method and authorize the applicable charges associated with your order.
An order may be delayed, declined, or cancelled if payment cannot be authorized or if a transaction is identified for additional fraud or security review.
10. Promotions and Discount Codes
From time to time, Laser Ninja may offer promotional pricing, discount codes, special offers, or other promotions.
Unless otherwise stated:
· Promotions apply only during the advertised promotional period
· Eligibility requirements must be satisfied
· Discount codes must be entered correctly before checkout is completed
· Discounts cannot be applied retroactively to previously completed orders
· Promotions have no cash value
· Multiple promotions or discount codes may not necessarily be combined
· Certain products, services, custom projects, wholesale orders, or other transactions may be excluded
We reserve the right to correct, suspend, cancel, or refuse a promotion in cases of error, misuse, fraud, or circumstances reasonably beyond the intended scope of the promotion, subject to applicable law.
11. Shipping, Delivery and Pickup
Shipping, delivery, processing times, available pickup options, and related conditions are described in our Shipping Policy and, where applicable, on individual product pages.
Estimated processing and delivery dates are estimates and are not guarantees unless we expressly agree otherwise in writing.
Delivery times may be affected by carriers, customs authorities, weather, holidays, high-volume periods, incorrect customer information, or other circumstances beyond our reasonable control.
Customers are responsible for providing a complete and accurate shipping address.
Any rights or responsibilities regarding delayed, lost, damaged, returned, or undeliverable shipments are subject to our Shipping Policy and applicable law.
12. Returns, Exchanges and Refunds
Returns, exchanges, cancellations, and refunds are governed by our Return and Refund Policy, which forms part of these Terms.
Because many Laser Ninja products are personalized, engraved, custom-made, or produced specifically for the customer, different return or cancellation conditions may apply to customized products.
Nothing in these Terms or our Return and Refund Policy limits any non-waivable rights or remedies available to consumers under applicable law.
13. Installation and Product Use
Certain Laser Ninja products may require mounting, installation, assembly, handling, or care by the customer.
Customers are responsible for following any installation or care instructions provided with the product or on our website.
Before installing a product, customers should ensure that the installation method and surface are appropriate for the product and location.
Where professional installation services are purchased directly from Laser Ninja, additional terms or project-specific conditions may apply.
We are not responsible for damage resulting from improper installation, unauthorized modification, misuse, unreasonable handling, failure to follow instructions, or use of a product for a purpose for which it was not designed, except where liability cannot lawfully be excluded.
14. Intellectual Property
Unless otherwise stated, the content of LaserNinja.ca, including our:
· Website design
· Product photography
· Graphics
· Logos
· Branding
· Written content
· Product designs
· Illustrations
· Videos
· Marketing materials
· Original artwork and design elements
is owned by or licensed to Valleries Inc. and is protected by applicable intellectual-property laws.
You may use our website and its content for personal shopping and informational purposes.
You may not copy, reproduce, distribute, modify, republish, commercially exploit, or use our protected content or designs without authorization, except where permitted by law.
Nothing in these Terms transfers ownership of Laser Ninja's intellectual property to you.
15. Reviews and Feedback
If you voluntarily submit a product review, testimonial, suggestion, or feedback to Laser Ninja, you confirm that the content reflects your genuine experience or opinion.
You must not knowingly submit false, misleading, defamatory, unlawful, or infringing content.
Where you intentionally submit a review or testimonial for publication on our website or related marketing channels, you grant us permission to display and reproduce that submitted review for those purposes, subject to applicable law and our Privacy Policy.
16. Third-Party Services and Links
Our website operates using Shopify and may integrate with third-party services, payment providers, social-media platforms, analytics tools, communication services, shipping providers, and other technologies.

19. Limitation of Liability
To the maximum extent permitted by applicable law, Valleries Inc. and Laser Ninja will not be liable for indirect, incidental, special, punitive, or consequential losses arising solely from use of or inability to access our website.
For claims relating to products or services, our liability will be determined in accordance with these Terms, any applicable product or service agreement, and applicable law.
Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited, or to waive rights granted to consumers by applicable law.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Valleries Inc. from third-party claims, damages, liabilities, and reasonable costs arising directly from:
· Your unlawful use of our website or services
· Your material breach of these Terms
· Materials you provide that infringe another person's intellectual-property or other legal rights
· Fraudulent or intentionally wrongful conduct by you
This section does not apply to the extent that a claim results from the acts or omissions of Valleries Inc. or where such an obligation is prohibited by applicable law.

24. No Waiver
If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce that provision later.
25. Entire Agreement
These Terms, together with our Privacy Policy, Return and Refund Policy, Shipping Policy, and any other policies or agreements expressly incorporated into a transaction, form the applicable agreement between you and Valleries Inc. regarding use of our website and purchases made through it.
For separately quoted custom, corporate, wholesale, installation, or event projects, an applicable written quotation, contract, invoice, or other project-specific agreement may supplement or replace portions of these Terms.
26. Governing Law
These Terms and transactions with Valleries Inc. are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without limiting any mandatory consumer-protection rights that may apply based on the circumstances of a transaction.
To the extent permitted by applicable law, disputes relating to these Terms or transactions with Valleries Inc. will be subject to the jurisdiction of the courts of Ontario, Canada.
